PUBLIC AGREEMENT (OFFER)

This Agreement is an official and public offer of the Seller to enter into a purchase and sale agreement for the Goods presented on the website sacdecoratif.com. This Agreement is public, meaning that in accordance with Article 633 of the Civil Code of Ukraine, its terms are the same for all buyers regardless of their status (individual, legal entity, or sole proprietor), without any preference given to one buyer over another. By entering into this Agreement, the Buyer fully accepts the terms and procedures for placing an order, paying for goods, delivering goods, returning goods, liability for improper orders, and all other terms of this Agreement. The Agreement is considered concluded from the moment the Buyer clicks the “Confirm Order” button on the checkout page in the “Cart” section and receives an electronic order confirmation from the Seller.

1. Definitions

1.1. Public Offer (hereinafter – the “Offer”) – a public proposal of the Seller addressed to an indefinite number of persons to conclude a distance purchase and sale agreement for goods (hereinafter – the “Agreement”) under the terms set forth in this Offer.

1.2. Goods or Services – the object of the parties’ transaction selected by the Buyer on the Seller’s online store and placed in the shopping cart, or already purchased by the Buyer remotely.

1.3. Online Store – the Seller’s website located at sacdecoratif.com, created for entering into retail and wholesale purchase and sale agreements based on the Buyer’s review of the Seller’s product descriptions via the Internet.

1.4. Buyer – a legally capable individual who has reached the age of 18, receives information from the Seller, places an order for purchasing goods presented on the Online Store for purposes not related to entrepreneurial activity, or a legal entity or sole proprietor.

1.5. Seller – private entrepreneur «Piatak Marharyta Valeriivna» (identification code 3485205069), a legal entity established and operating in accordance with the laws of Ukraine, with its registered office located at: Bucha, Ukraine, str. Lisova, building 1b.

2. Subject of the Agreement

2.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.

2.2. The date of conclusion of this Offer Agreement (acceptance of the Offer) and the moment of full and unconditional acceptance by the Buyer of the terms of this Agreement is the date on which the Buyer completes the order form on the Online Store and receives an electronic order confirmation from the Seller. If necessary, at the Buyer’s request, the Agreement may be executed in writing.

3. Order Placement

3.1. The Buyer places an order independently through the "Cart" on the Online Store, or by sending an order via email or by calling the phone number specified in the “Contacts” section.

3.2. The Seller reserves the right to refuse to deliver an order to the Buyer if the information provided by the Buyer during order placement is incomplete or raises doubts regarding its validity.

3.3. When placing an order on the website, the Buyer must provide the following required information needed for the Seller to fulfill the order:

3.3.1. Buyer’s last name and first name;
3.3.2. Delivery address (if delivery to the Buyer’s address is selected);
3.3.3. Contact phone number;
3.3.4. Identification code for a legal entity or sole proprietor.

3.4. The name, quantity, item number, and price of the Goods selected by the Buyer are indicated in the Buyer’s shopping cart.

3.5. If either Party requires additional information, it may request it from the other Party. If the Buyer fails to provide necessary information, the Seller shall not be liable for the quality of service provided during the purchase.

3.6. When placing an order through the Seller’s operator, the Buyer must provide the information specified in clauses 3.3–3.4.

3.7. The Buyer accepts the terms of this Offer by entering the relevant data into the online registration form or when placing an order through an operator. After placing the order, Buyer information is entered into the Seller’s database.

3.8. The Buyer is responsible for the accuracy of the information provided when placing an order.

3.9. By accepting the terms of this Offer through order placement, the Buyer confirms that:

a) the Buyer is fully familiar with and agrees to all terms of this Offer;
b) the Buyer gives consent to the collection, processing, and transfer of personal data. This consent is valid throughout the term of the Agreement and for an unlimited period after its expiration. The Buyer confirms being informed (without additional notifications) of their rights under the Law of Ukraine “On Personal Data Protection”, the purpose of data collection, and that personal data is transferred to the Seller for the purpose of fulfilling this Agreement, making settlements, and receiving invoices and documents. The Buyer also agrees that the Seller has the right to grant access to and transfer their personal data to third parties without additional notice for the purpose of fulfilling the Buyer’s order.

4. Price and Delivery of Goods

4.1. Prices for Goods and services are determined by the Seller and listed on the Online Store in Ukrainian hryvnias (UAH), including VAT.

4.2. Prices may be changed unilaterally by the Seller depending on market conditions. At the same time, the price of Goods already fully paid by the Buyer cannot be changed.

4.3. The price listed on the Online Store does not include the cost of delivery. Delivery fees are paid by the Buyer to the selected carrier in accordance with the carrier’s current tariffs.

4.4. The listed price also does not include delivery to the Buyer’s specific address.

4.5. The Seller may provide an estimated delivery cost to the Buyer upon request by email or when placing an order through an operator.

4.6. The Buyer’s obligation to pay for the Goods is considered fulfilled at the moment the funds are credited to the Seller’s bank account.

4.7. Settlements between the Seller and the Buyer are made using the methods specified in the “Payment and Delivery” section on the website.

4.8. Upon receiving the Goods, the Buyer must check the Goods for compliance with qualitative and quantitative characteristics (name, quantity, set, expiration date) in the presence of the delivery service representative.

4.9. The Buyer or their representative confirms with a signature on the receipt/order/waybill that there are no claims regarding quantity, appearance, or completeness of the Goods.

4.10. Ownership and risk of accidental loss or damage pass to the Buyer from the moment the Goods are received by the Buyer or handed by the Seller to the selected carrier.

5. Rights and Obligations of the Parties

5.1. The Seller shall:

5.1.1. Deliver the Goods to the Buyer according to the terms of this Agreement and the Buyer’s order.
5.1.2. Not disclose private information about the Buyer except where required by law or necessary for order fulfillment.

5.2. The Seller has the right to:

5.2.1. Change the terms of this Agreement and prices for Goods and services unilaterally by publishing updates on the Online Store. All changes take effect upon publication.

5.3. The Buyer shall:

5.3.1. Review the terms of this Agreement and the prices listed on the Online Store before entering into the Agreement.
5.3.2. Provide all necessary information required to identify the Buyer and ensure proper delivery.

6. Return of Goods

6.1. The Buyer may return non-food Goods of proper quality if they do not fit in shape, size, design, color, or for other reasons cannot be used for their intended purpose. The Buyer may return such Goods within 14 days, excluding the day of purchase, provided that the Goods have not been used and their appearance, consumer properties, packaging, seals, labels, and receipt are preserved. The list of Goods not subject to return is approved by the Cabinet of Ministers of Ukraine.

6.2. Refunds for Goods of proper quality are made within 30 calendar days from the date the Seller receives the returned Goods, provided the requirements of clause 6.1 are met.

6.3. Refunds are made by bank transfer to the Buyer’s account.

6.4. Return shipping costs are borne by the Buyer and are not reimbursed by the Seller.

6.5. If defects are discovered within the warranty period, the Buyer may submit claims to the Seller in accordance with the Law of Ukraine “On Consumer Rights Protection”. The repair period begins when the Seller receives the Goods.

6.6. Claims under consumer protection law are reviewed only if the Buyer provides the required documents. The Seller is not responsible for defects resulting from improper use or storage, third-party actions, or force majeure.

6.7. The Buyer cannot return Goods with individually specified characteristics (including custom sizes, configurations, appearance, etc.). A deviation from standard sizing or characteristics listed on the website confirms individual customization.

6.8. Returns must be sent to the address provided in the “Contacts” section of the website.

7. Liability

7.1. The Seller is not liable for damages caused to the Buyer due to improper installation, use, or storage of Goods purchased from the Seller.

7.2. The Seller is not liable for improper or late fulfillment of obligations if the Buyer provided inaccurate or incorrect information.

7.3. Both Parties are liable for fulfillment of their obligations in accordance with the laws of Ukraine and this Agreement.

7.4. The Parties are released from liability for failure to perform obligations due to force majeure events such as war, natural disasters, fire, etc., arising after conclusion of this Agreement. The Party unable to fulfill obligations must promptly notify the other Party.

8. Confidentiality and Personal Data Protection

8.1. By providing personal data during registration or order placement, the Buyer gives voluntary consent for data processing, use, and transfer as defined by the Law of Ukraine “On Personal Data Protection”, without limitation on term.

8.2. The Seller undertakes not to disclose information received from the Buyer. Disclosure is not considered a violation if the information is provided to contractors or third parties acting under a contract with the Seller to fulfill Buyer’s orders, or when required by law.

8.3. The Buyer is responsible for maintaining their personal data up to date. The Seller is not liable for improper fulfillment of obligations if the Buyer’s information is outdated or inaccurate.

9. Other Provisions

9.1. This Agreement is concluded on the territory of Ukraine and is governed by the laws of Ukraine.

9.2. All disputes shall be resolved through negotiations. If no resolution is reached, the Parties may apply to the courts according to the legislation of Ukraine.

9.3. The Seller may amend this Agreement unilaterally as provided in clause 5.2.1. Amendments may also be made by mutual agreement of the Parties.
